Software License Policy

Effective Date: 01/08/2025

This Software License Policy (“Policy”) governs the use of software products and services (“Software”) provided by Codelek Technology (“we,” “our,” or “us”) to the end user (“you” or “user”) under a paid subscription model.

📜 1. License Grant

Upon successful yearly payment, we grant you a non-exclusive, non-transferable, and revocable license to access and use our Software. The license is tied to the domain you provide at the time of purchase.

Types of Licenses:

  • Personal License:
    • For individual use
    • Redistribution is allowed
    • No modification or reverse engineering permitted
  • Commercial License with Modification Rights:
    • For companies or advanced users
    • Redistribution is allowed
    • Modification allowed only with prior written permission
    • Reverse engineering strictly prohibited (unless legally required)

🔁 2. Subscription and Renewal

  • Valid for one year from payment date
  • Must be renewed annually
  • Non-renewal results in automatic license termination and access suspension

🌐 3. Domain-Based Access

  • License is tied to one custom domain
  • Users must manage their own domain configuration
  • Use on multiple domains requires our explicit permission

🚫 4. Restrictions

  • No modification, decompiling, disassembling, or reverse engineering
  • No sublicensing, renting, leasing, or selling without permission

🧠 5. Intellectual Property

All rights remain with Codelek Technology. License is for use only, not ownership.

⚠️ 6. Termination

  • Breach of any term
  • Failure to renew
  • Violation of law or third-party rights

Upon termination, access is disabled and usage must cease.

🔧 7. Updates and Support

  • Software updates and bug fixes included during active license
  • Support via support@codelek.com

📦 8. Custom Software License Terms

For custom software development projects delivered by Codelek Technology, all intellectual property rights, source code ownership, databases, and related project assets shall remain the exclusive property of Codelek Technology until all agreed payments for the project have been fully cleared by the client.

  • Clients are granted limited access to use the software only as agreed during the development process.
  • Full ownership rights will be transferred to the client only after all outstanding dues and payments are completely settled.
  • Until full payment is received, Codelek Technology reserves the right to retain control over the software, source code, databases, and all project-related resources.
  • If the client fails to clear the due payment within a time frame defined by Codelek Technology, the company reserves the right to pause services, restrict access, stop operation of the software, or permanently delete project files, databases, and related assets associated with the project.

⚖️ 9. Legal and Jurisdiction

This Policy is governed by the laws of India. Disputes will be handled in the courts of West Bengal.
